Lakeside Waypoint provides AI-powered lead generation and social media advertising services. Our platform identifies, qualifies, and connects businesses with potential customers through targeted advertising campaigns across various channels including social media, search engines, and premium networks.

3. Pricing and Payment Terms

Our pricing is based on a pay-per-qualified-lead model with the following rates:

• Social Media Leads: $40 per qualified lead
• Search Engine Leads: $50 per qualified lead
• Premium Network Leads: $60 per qualified lead

3.1 Payment Terms

Payment is due within 30 days of invoice date. Late payments may incur additional fees. We reserve the right to suspend services for accounts with overdue payments.

3.2 Lead Qualification

A "qualified lead" is defined as a prospect who has:

• Engaged with your advertising content
• Provided accurate contact information
• Expressed genuine interest in your products or services
• Passed our AI qualification screening process

4. User Responsibilities

As a user of our service, you agree to:

• Provide accurate and complete information about your business
• Comply with all applicable laws and regulations
• Respond to qualified leads in a timely and professional manner
• Not use our service for illegal, fraudulent, or harmful activities
• Maintain the confidentiality of your account credentials

5. Data Privacy and Protection

We are committed to protecting your privacy and the privacy of the leads we generate. Our data handling practices are detailed in our Privacy Policy. By using our service, you acknowledge that:

• We collect and process data necessary to provide our services
• Lead data is shared with you for legitimate business purposes
• You are responsible for complying with applicable privacy laws when contacting leads
• We implement appropriate security measures to protect data

6. Service Availability and Performance

While we strive to provide reliable service, we cannot guarantee:

• Uninterrupted access to our platform
• Specific lead volumes or conversion rates
• That all leads will result in sales
• Compatibility with all third-party systems

We reserve the right to modify, suspend, or discontinue any aspect of our service with reasonable notice.

7. Intellectual Property

All content, features, and functionality of the Lakeside Waypoint platform, including but not limited to text, graphics, logos, software, and AI algorithms, are owned by Lakeside Waypoint and are protected by copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law, Lakeside Waypoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our service.

Our total liability for any claims arising from or related to this agreement shall not exceed the amount paid by you for our services in the twelve months preceding the claim.

9. Termination

Either party may terminate this agreement at any time with 30 days written notice. We may terminate your access immediately if you violate these terms or engage in fraudulent activity.

Upon termination:

• Your access to our platform will be suspended
• Outstanding invoices remain due and payable
• You must cease using any proprietary information or materials
• Provisions regarding liability, intellectual property, and confidentiality survive termination

10. Governing Law and Disputes

This agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any disputes arising from this agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Harris County, Texas.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through our platform. Continued use of our service after changes constitutes acceptance of the new terms.
